Terms & Conditions of Sale

Prices:

All prices are LIST. Applicable taxes will be added.

Quotations:

Unless otherwise stated, quotations effective for thirty (30) days only.

Acceptance:

All orders are subject to acceptance by Omni-Rinse, LLC’s headquarters in Schaumburg, Illinois. Possession of the product directory and price list is not an offer to sell.

Shipments:

F.O.B. factory. The most economical shipping method will be utilized based on size of order (UPS, FedEx, or LTL carriers). Partial shipments will be made unless otherwise specified by the customer.

Payment Terms:

Payment by cash in advance unless prior terms have been agreed upon. All sales, excise, or similar taxes required by law to be collected or paid by seller shall be in addition to prices quoted unless an appropriate Tax Exemption certificate is furnished. All goods are sold F.O.B. factory. Except for otherwise provided, Omni-Rinse, LLC will not be responsible for freight, transportation, insurance, shipping, storage, handling, demurrage or similar charges—except for otherwise stated. Invoices are payable in full in thirty (30) days following the invoice’s date of issuance. If by the terms of sale credit is extended, Omni-Rinse, LLC reserves the right to revoke such credit if buyer fails to pay for any products when due and may demand payment prior to the commencement of any further shipment.

Delivery:

In-stock equipment generally ships within two to three days of Omni-Rinse, LLC receiving complete order information. Equipment that is manufactured to order typically ships within three to six weeks after complete order information is received by Omni-Rinse, LLC.

Customer Obligations:

Customer must install all Omni-Rinse® equipment as outlined in the instruction manual. Auto-Rinse™ (model BTRS-1) MUST be connected to both hot and cold water before assessing performance issues with regard to water pressure, water temperature, or cleaning effectiveness. Customer must allow Omni-Rinse, LLC or any of its agents or representatives (including dealers and sales representatives) adequate access to their facility to remedy any perceived problems or issues regarding performance of its equipment. When an in-person evaluation is not possible or practical, customer must grant Omni-Rinse, LLC or any of its agents or representatives (including dealers and sales representatives) adequate time and cooperation in good faith to remedy any perceived equipment performance issues via email, telephone call, video call, or other remote means of correspondence.

In addition to the above provisions, the customer receiving the equipment must:

  • Acknowledge and note all damage on the delivery receipt at the time of delivery.
  • Inspect all equipment on any items that they deem potentially damaged or suspect.
  • Refuse damage items and retain all other items in good condition in the order
  • To always sign the delivery receipt as damaged whenever in doubt about the condition of the delivery.

Carrier CANNOT be held liable unless customer signs the delivery as damaged.

Returns:

Discontinued and custom-made items cannot be returned for credit. Custom-made items include any products made to alternate specifications (non-stock) per customer request. Return items must be in new condition, and packaged in their original carton or crate. Freight charges must be prepaid on all return shipments. 

A Return Material Authorization (RMA) number must be issued by Omni-Rinse, LLC in advance for any items that are returnable. The RMA number MUST be noted on the outside of the returned package. Returns must be received within ninety (90) days of the RMA issue date. A Minimum 20% restocking charge will be applied to all authorized returns if received in new, unused condition in the original packaging. A credit will be issued for the remaining balance of the invoice (less the 20% restocking fee).

The above conditions apply to spare part returns, except spare part returns must be received within sixty (60) days of original shipment.

Loss or Damage:

For customer-routed shipments, Omni-Rinse, LLC is not responsible for any loss, damage, or delay of merchandise during shipment. Such transit claims must be filed with the carrier. Merchandise must be examined on arrival. If shortages occur, Omni-Rinse, LLC must be notified in writing within five (5) days of delivery to honor any shortage claim. Omni-Rinse, LLC will assume responsibility for freight claims on prepay and add shipments but the customer must inspect freight and note any damage upon receipt. Failure to do so may result in losses at the customer’s expense.

Custom Orders:

Custom orders must be paid in advance and are not subject to cancellation.
